Welcome to SoFloSpark. These Terms of Service ("Terms") govern your access to and use of the SoFloSpark website at soflospark.com and all related services, features, and content (collectively, the "Platform"). Please read these Terms carefully before using the Platform. By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Platform.

1. About SoFloSpark

SoFloSpark is South Florida's local business directory and discovery platform, covering Palm Beach County, Broward County, and Miami-Dade County. The Platform connects residents and visitors with local businesses, events, news, and community resources across South Florida.

2. Eligibility

You must be at least 13 years of age to use the Platform. By using the Platform, you represent and warrant that you meet this age requirement. If you are using the Platform on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

3. User Accounts

Some features of the Platform require you to create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate your account if any information provided is inaccurate, false, or violates these Terms.

4. Business Listings

a. Free Listings

SoFloSpark may create free listings for businesses based on publicly available information. Business owners can claim their free listing to manage and update their information. Free listings are subject to SoFloSpark's editorial discretion and may be modified or removed at any time.

b. Premium and Featured Listings

Premium and Featured listing tiers are available for purchase and provide enhanced visibility, additional features, and priority placement on the Platform. Subscription fees are billed in advance and are non-refundable except as required by applicable law. You may cancel your subscription at any time, and your listing will revert to the free tier at the end of the billing period.

c. Accuracy of Listing Information

You are responsible for the accuracy of all information you submit for your business listing. You represent and warrant that you have the right to submit such information and that it does not infringe any third-party rights. SoFloSpark reserves the right to remove or modify any listing that violates these Terms or our content guidelines.

5. User-Generated Content

The Platform allows users to submit reviews, ratings, photos, and other content ("User Content"). By submitting User Content, you:

• Grant SoFloSpark a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your User Content on the Platform and in connection with our services
• Represent that you own or have the necessary rights to submit the User Content
• Agree that your User Content does not violate any applicable laws or third-party rights

You agree not to submit User Content that:

• Is false, misleading, or fraudulent
• Is defamatory, obscene, offensive, or harassing
• Infringes any intellectual property rights
• Contains spam, advertising, or promotional material not authorized by SoFloSpark
• Violates any applicable law or regulation

6. Prohibited Uses

You agree not to use the Platform to:

• Violate any applicable laws or regulations
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Collect or harvest personal information about other users without their consent
• Transmit any malware, viruses, or other harmful code
• Attempt to gain unauthorized access to any portion of the Platform or its related systems
• Interfere with or disrupt the integrity or performance of the Platform
• Use automated tools to scrape, crawl, or extract data from the Platform without our written permission
• Post fake reviews or engage in any form of review manipulation
• Use the Platform for any commercial purpose not expressly permitted by these Terms

7. Intellectual Property

The Platform and its original content, features, and functionality are owned by SoFloSpark and are protected by United States and international copyright, trademark, and other intellectual property laws. The SoFloSpark name, logo, and related marks are trademarks of SoFloSpark. You may not use our trademarks without our prior written consent.

You retain ownership of any User Content you submit. By submitting User Content, you grant us the license described in Section 5 above.

8. Third-Party Services and Links

The Platform may contain links to third-party websites, services, or business listings. These links are provided for your convenience only. SoFloSpark does not endorse, control, or take responsibility for the content, privacy practices, or services of any third-party websites. Your use of third-party services is at your own risk and subject to their respective terms and policies.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. SOFLOSPARK DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. SOFLOSPARK DOES NOT WARRANT THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY CONTENT ON THE PLATFORM, INCLUDING BUSINESS LISTINGS, REVIEWS, OR OTHER USER-GENERATED CONTENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SOFLOSPARK AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF SOFLOSPARK HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL SOFLOSPARK'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO SOFLOSPARK IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless SoFloSpark and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Platform, your User Content, or your violation of these Terms.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Broward County, Florida. You waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, where appropriate, notify you by email. Your continued use of the Platform after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Platform.

14. Termination

We reserve the right to suspend or terminate your access to the Platform at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
